By participating in the promotion, you agree to the following terms and conditions (“Promotional Terms”):

1. Promotion Details. This promotion (the “Promotion”) is made available by Mill Industries Inc. (“Mill”) and provides existing Thrive Market members (each, a “Thrive Member”) the opportunity to receive a Thrive Market Inc. gift card valued at US $50.00 (“Thrive Gift Card”) with and subject to the purchase of an annual Mill membership (“Mill Membership”). In order to redeem the Promotion, you are required to, within the time periods set forth in Section 3, (i) pay a deposit (the “Deposit”) to Mill of US $33.00, or such other amount specified by Mill when placing the Deposit, to join Mill’s membership waitlist, (ii) enter the promotional code provided in the Promotion materials when making the Deposit (the “Promo Code”), and (iii) purchase an annual Mill membership, at the then-current rate, in accordance with Section 5 below. You must purchase an annual Mill Membership to redeem the offer and will not receive a Thrive Gift Card if you instead purchase a monthly membership plan.
2. Eligibility. To be eligible to participate in the Promotion, you must (a) agree to Mill’s standard Terms and Conditions set forth at mill.com/terms-of-service (the “Mill Terms of Service”) when placing the Deposit, (b) be at least 18 years of age, live in the contiguous United States of America (i.e., excluding Alaska and Hawaii), and be an active Thrive Market member when you pay the Deposit and when you activate your Mill Membership, and (d) not have already paid a separate deposit for a Mill membership, requested or received a refund of your Deposit, or already have a Mill membership (monthly or annual). You also must be eligible to receive a Thrive Gift Card pursuant to Thrive Market Inc.’s terms of service (the “Thrive Terms and Conditions”).
3. Promotion Period. The Promotion begins on March 30, 2023 and ends on December 31, 2024 (the “Promotion Period”). To redeem the offer for a Thrive Gift Card through this Promotion, you must activate the Mill Membership within 15 days of when it is first offered to you (if it is offered to you), which in any case must be on or before December 31, 2024.
4. Limited Supply. Supply of Mill kitchen bins (“Bins”), and in turn Mill Memberships, is limited. it is within our sole discretion if and when we will offer you the ability to purchase a Mill Membership. We cannot guarantee when or if a Mill Membership will be offered to you, and you therefore may not be able to redeem the Promotion. Deposits are refundable any time before you purchase a Mill Membership, and will be applied to your first Mill Membership fee payment in accordance with the Mill Terms of Service. Email support@mill.com to request a refund of your Deposit. Membership fees are nonrefundable and there are no refunds or credits for canceling in the middle of a billing period.
5. Activation Requirements. As noted above, you must activate and pay for a Mill Membership in accordance with the Mill Terms and Conditions within 15 days of when we notify you (by email) that a Mill Membership is available to you. Placing a Deposit does not mean you have, or are guaranteed the chance to, purchase a Mill Membership and redeem the Promotion. You must purchase an annual Mill membership rather than a monthly membership to redeem the offer.
6. Redeeming Your Offer. If all Promotional Terms are satisfied, a Thrive Gift Card will be sent to the address you used to activate your Mill Membership within 30 days of such activation. The Thrive Gift Card is not redeemable for cash or otherwise substitutable. 
7. Sharing Promo Code.  You agree not to distribute or send the Promo Code to anyone who isn’t eligible to redeem the Promotion under Section 2 above, including by posting it to deal aggregator or other commercial websites. If you share or receive the Promo Code through these channels, you will not be eligible to receive the Thrive Gift Card.
8. Restrictions. The Mill Terms of Service, as well the Promotional Terms, apply to this Promotion. The offer in this Promotion is valid only during the Promotion Period, while supplies last and subject to availability. This offer is void where prohibited or restricted by law. We are not responsible for any loss, destruction or theft of any Thrive Gift Card you may receive or are otherwise entitled to receive, including if you do not receive your Thrive Gift Card due to your failure to enter accurate contact information. We may use any information provided in accordance with our privacy policy currently located at https://mill.com/privacy-policy. We reserve the right to change these Promotional Terms, or modify or end this Promotion, at any time without notice. This Promotion and these Promotional Terms are governed by the laws of the State of California without regard to conflicts of laws provisions thereof.
